Earthlings Charter

The Governing Rules of a Decentralized People

The Earthlings people, grounded in the principles and values set forth in the Earthlings Declaration, and committed to the formation of a genuinely decentralized and equitable community, hereby adopt this Charter as the foundational governance document of the people.

We reject traditional hierarchical structures and establish a pure DAO system in which decisions are made exclusively by individual participants - the Earthlings. Every voice carries equal weight, every decision is transparent, and every action is recorded on the blockchain.

FOUNDATIONAL PRINCIPLES

Core Principle: The authority to adopt binding decisions is concentrated SOLELY at one level - the DAO Assembly. All other levels serve supporting, advisory, or executive functions; none holds authority to make decisions on behalf of the people.
Article 1. DAO Assembly (the sole governing body)
The DAO Assembly is the sole governing body of the Earthlings people. It comprises all verified Earthlings and exercises authority over all strategic, financial, and organizational decisions through direct vote.

Participants: ONLY natural persons - Earthlings aged 18 and above

Voting principle: 1 Earthling = 1 vote (via SBT passport)

Voting Mechanisms

  • Standard periods: 14 days deliberation → 7 days voting
  • Accelerated procedures: For decisions up to 1,000 EC - 3 days deliberation + 3 days voting
Article 2. Core Nodes (technical infrastructure)
Core Nodes are technical coordinators. They maintain the platform and technical infrastructure. They do not make decisions on behalf of the people and may be recalled by DAO vote at any time.

Functions (TECHNICAL ONLY):

  • Maintenance of the DAO platform and infrastructure
  • Cybersecurity and defense against attacks
  • Technical support of voting processes
  • Audit of smart contracts
  • Systems monitoring

What Core Nodes do NOT do:

  • Do NOT make decisions on behalf of the people
  • Do NOT manage finances (technical support only)
  • Do NOT hold special weight in voting
  • Cannot block decisions of the DAO Assembly

Composition:

  • Number: up to 6 persons
  • Election: By DAO vote (simple majority)
  • Rotation: Every 6 months, based on on-chain reputation
  • Recall: Possible at any time by DAO vote
  • Reporting: Monthly, public
Article 3. Emergency Multisig (rapid response)
Emergency Multisig is a multi-signature wallet for urgent technical operations. It comprises up to 6 trusted Earthlings. The Emergency Multisig may act swiftly in critical situations, but solely to protect the system. Following any such action, the DAO Assembly must ratify or revoke it within 7 days.

Authority (STRICTLY LIMITED):

  • Suspension of smart contracts upon detection of critical vulnerabilities
  • Emergency measures in response to cyberattacks
  • Urgent technical remediation
  • Emergency disbursement of up to 5,000 EC in force majeure circumstances

What the Emergency Multisig may NOT do:

  • Adopt strategic decisions
  • Amend DAO rules
  • Dispose of significant sums (exceeding 5,000 EC)
  • Block decisions of the DAO Assembly

Control mechanisms:

  • Transparency: All transactions are visible on-chain
  • Time constraints: Actions require a 24-hour timelock (except during active cyberattacks)
  • Mandatory reporting: Within 48 hours of any action
  • Right of reversal: The DAO Assembly may revoke any action by qualified majority
  • Accountability: Abuse of authority leads to immediate recall

Composition:

  • Election: By DAO vote (simple majority)
  • Term: 12 months, renewable
  • Rotation: Minimum 2 new members at each rotation
  • Recall: Possible at any time upon loss of trust
Article 4. Independent Council of Earthlings (ethical oversight)
The Independent Council is an advisory body. It conducts ethical reviews of decisions, publishes recommendations, and issues expert opinions. The Council's authority derives from reputation and expertise - not from formal powers.

Functions:

  • Ethical audit of DAO decisions
  • Public recommendations on complex matters
  • Annual reports on the state of the people
  • Expert opinions upon request by Earthlings
  • Mediation in conflicts

CRITICALLY IMPORTANT:

  • All opinions are ADVISORY ONLY
  • May NOT block DAO decisions
  • Hold NO veto right
  • Do NOT participate in financial governance

Composition:

  • Number: 7-11 experts (odd number)
  • Election: By DAO vote (qualified majority)
  • Term: 3 years, subject to recall
  • Requirements: Recognized expertise in ethics, law, ecology, or technology
  • Funding: From a protected budget (not reducible without qualified majority)
SECTION 02

Decision-Making Mechanisms

Article 5. Types of Votes
Simple Majority (51%)

Quorum: 20%

Applied to routine operational decisions, approval of projects up to 10,000 EC, election of Core Nodes and Emergency Multisig

Qualified Majority (67%)

Quorum: 25%

Applied to Charter amendments, strategic decisions, and major financial decisions exceeding 100,000 EC

Quadratic Voting

For resource allocation

Applied when distributing Fund resources among competing projects. Prevents domination by large coalitions

Article 6. Voting Procedures

Standard procedure:

  • Days 1-14: Deliberation on the proposal, amendment submissions
  • Days 15-21: Voting (on-chain or Snapshot)
  • Day 22: Tabulation of results and publication
  • Day 23+: Automatic execution through smart contracts

Accelerated procedure (for projects up to 1,000 EC):

  • Days 1-3: Deliberation
  • Days 4-6: Voting
  • Day 7: Execution

Emergency procedure (force majeure only):

  • Initiated by the Emergency Multisig
  • 48 hours for voting
  • Simple majority required
  • Action is immediate but reversible by the DAO Assembly
Article 7. Delegation of Votes
Earthlings may delegate their vote to another Earthling recognized as having expertise in a specific domain. Delegation is voluntary and may be revoked at any time.

Expert delegates:

  • Specializations: Ecology, technology, economics, law, education
  • Reputation: Public on-chain record of decisions
  • Transparency: All votes cast by a delegate are publicly visible
  • No special privileges: 1 delegated vote = 1 vote
Article 8. Reputation System
CRITICALLY IMPORTANT: Reputation does NOT affect voting weight. The principle of "1 person = 1 vote" is absolute. Reputation affects only the visibility and prioritization of proposals.

  • Contribution to community development
  • Quality of proposals
  • Peer-to-peer assessments

Application of reputation:

  • Chronological feed by default: all proposals appear in submission order - the author's reputation does NOT affect placement. Filtering by reputation is available as an optional viewing mode, which each Earthling may enable independently
  • Recommendations for delegation (informational function)
  • Access to the expert delegate role
  • Does NOT affect voting weight

Rationale: automatic prioritization of proposals by reputation creates a de facto agenda without formal accountability. The chronological feed ensures equal access to community attention, regardless of participation history.

SECTION 03

Economic System

Article 9. Earthlings Fund
The Earthlings Fund is governed through smart contracts. All operations are transparent and recorded on-chain. The allocation of resources is approved by DAO vote.

Sources of funding:

  • Membership fees (one-time fee equivalent to $79 upon joining)
  • Voluntary contributions from Earthlings
  • Grants and donations
  • Issuance of Earthlings Coin (subject to established rules)
  • Other sources approved by the DAO Assembly

The Fund's annual budget is distributed across the main categories approved by the DAO Assembly. Current proportions and the description of each expenditure category are documented in the Earthlings Fund document. Proportions can only be changed by qualified majority (67%) of the DAO Assembly.

Article 10. Earthlings Coin (EC)

Characteristics:

  • Utility token of the Earthlings ecosystem
  • Does NOT affect voting weight (1 person = 1 vote, irrespective of EC holdings)
  • Used for payment of services within the community
  • Transparent issuance under established rules
The details of the Earthlings Coin economic model are set out in a separate document.
Article 11. Project Funding

Funding process:

  • Submission: Via the platform, with a description of the project, budget, and team
  • Deliberation: 14 days (or 3 days for projects up to 1,000 EC)
  • Voting: Quadratic where projects compete for the same resources
  • Approval: Simple majority (up to 10,000 EC) or qualified majority (above 100,000 EC)
  • Disbursement: Automatic, through smart contract, in milestones
  • Reporting: Public, on-chain, upon completion of each milestone

SECTION 04

Membership and Verification

Article 12. Principles of Participation
Participation in the Earthlings people is open to all persons who have reached the age of 18, have affirmed the Earthlings Declaration, and have completed identity verification.
Article 13. Verification System

Safeguarding the principle of "1 person = 1 vote":

  • Biometric verification: Confirmation of unique personhood
  • Soulbound Token (SBT): A non-transferable membership token
  • Decentralized identity: The user retains control of their own data
  • Anti-Sybil protection: Prevention of multiple account creation
Article 14. Rights of Earthlings
  • Participation in votes with equal voting weight
  • Submission of proposals and initiatives
  • Participation in community projects
  • Delegation of one's vote
  • Access to all information on the platform
  • Participation in discussions and deliberations
  • Withdrawal from the people at any time
Article 15. Obligations of Earthlings
  • Adherence to the principles of the Earthlings Declaration
  • Respect for other participants
  • Good-faith participation in votes
  • Transparency in the execution of projects
  • Accountability for the use of Fund resources
Article 16. Declaration of Conflicts of Interest

An Earthling is obligated to openly declare a conflict of interest in any situation where their personal stake may compromise the objectivity of a decision.

A conflict of interest arises when an Earthling:

  • has a direct or indirect material benefit from the outcome of the decision
  • is connected by familial, commercial, or other significant ties to persons or entities affected by the decision
  • represents the interests of third parties or organizations in the matter under consideration

Declaring a conflict of interest does not deprive an Earthling of the right to vote, except in cases expressly provided for in this Charter.

Deliberate concealment of a conflict of interest constitutes a breach of ethical norms and may result in a restriction of rights.
SECTION 05

Change of Earthling Status

Article 17. Foundational Principle
Membership in the Earthlings people is inalienable. No one may be excluded from the Earthlings people under any circumstances. Once a person becomes an Earthling, they remain one until they themselves choose to withdraw.

This principle flows directly from the Earthlings Declaration: freedom belongs to every person, and no majority holds the right to deprive anyone of belonging to a people they joined voluntarily.

Where the rules and principles of the Earthlings people are violated, restrictive measures may be applied - but never exclusion.

Article 18. Voluntary Withdrawal

Every Earthling has the right, at any time, to voluntarily cease their participation in the Earthlings people. This right is unconditional and requires no statement of reasons.

Withdrawal procedure:

  • The Earthling submits a withdrawal declaration through their personal account on the Earthlings platform
  • The system requests confirmation of the decision. A minimum of 72 hours must elapse between the initial declaration and confirmation - this allows time to guard against impulsive decisions
  • Following confirmation, the Earthling's SBT passport is annulled within 24 hours, and access to voting and internal services ceases
  • Withdrawal takes effect upon annulment of the SBT passport

Earthlings Coin upon withdrawal:

Earthlings Coin held in the withdrawing Earthling's wallet remain their property. Tokens are neither confiscated nor annulled. Upon loss of Earthling status, the token holder loses their right to vote in the DAO and access to internal services, but retains the ability to use the tokens on external platforms.

Re-admission:

A person who has voluntarily withdrawn from the Earthlings people has the right to re-join at any time by completing the standard verification procedure and obtaining a new SBT passport.

Article 19. Suspension of Status

An Earthling may temporarily suspend their status without fully withdrawing from the people.

Grounds for suspension:

  • personal circumstances requiring a pause
  • prolonged inability to participate in community life
  • any other reason at the Earthling's discretion

Consequences of suspension:

  • The SBT passport is retained but marked as "suspended"
  • voting rights are suspended
  • the suspended Earthling's vote is not counted toward quorum
  • access to informational resources is retained
  • Earthlings Coin remain in the wallet without restriction

Duration of suspension:

Suspension remains in effect until the Earthling declares the resumption of participation, but for no more than 12 months. Upon the expiry of 12 months, the system sends a request as to the Earthling's intentions. If no response is received within 30 days, status transitions to "inactive."

Resumption:

Resumption of active status requires only a declaration through the personal account. Re-verification is not required.

Article 20. Inactive Participants

An Earthling is recognized as inactive if they have:

  • participated in no vote for a period of 12 months
  • performed no action on the platform for a period of 12 months
  • not responded to a status confirmation request

Consequences of inactivity:

  • The SBT passport is retained but marked as "inactive"
  • the inactive Earthling's vote is not counted toward quorum
  • voting rights are preserved and may be exercised at any time
  • upon the first action (vote, login to the platform), active status is automatically restored
The inactivity mechanism protects the system against artificial inflation of quorum requirements, while preserving each Earthling's right to return to participation at any time.
Article 21. Termination of Status upon Death

In the event of an Earthling's death:

  • The SBT passport is annulled upon receipt of reliable information of the death
  • Earthlings Coin, as crypto-assets, are inherited in accordance with applicable law and subject to the heirs' possession of wallet access
  • the Earthlings people bear no obligation to transfer assets to heirs and possess no technical means to restore access to the wallet
Article 22. Restriction of Rights

Where the rules and principles of the Earthlings people are violated, restrictive measures may be applied. A restriction of rights does not deprive a person of Earthling status, but temporarily or indefinitely limits specific rights and capabilities.

Types of restrictions (graded by severity):

Level 1 - Warning

Public recording of the violation without restriction of rights. The warning remains in the record and is considered upon review of subsequent violations.

Level 2 - Restriction from Cells

Temporary prohibition on creating new Cells or joining existing ones. Duration: 1 to 12 months.

Level 3 - Restriction of Initiative Rights

Temporary prohibition on submitting proposals to the DAO. The right to vote on others' proposals is retained. Duration: 1 to 12 months.

Level 4 - Suspension of Voting Rights

Temporary suspension of the right to vote in the DAO. Duration: 1 to 24 months.

Level 5 - Restriction of Service Access

Restriction of access to specific platform services (except basic functions). Duration: 1 to 24 months.

Level 6 - Comprehensive Restriction

A combination of multiple restrictions. Applied in cases of systematic or serious violations. Duration: 6 to 36 months.

Grounds for restrictions:

  • violation of the ethical norms of the Earthlings people
  • deliberate concealment of a conflict of interest
  • abuse of DAO mechanisms (spam proposals, manipulation)
  • actions causing reputational harm to the Earthlings people
  • breach of the privacy of other Earthlings
  • systematic non-fulfillment of voluntarily assumed obligations

Procedure for applying restrictions:

  • Initiation: Any Earthling or group of Earthlings (no fewer than 5 persons) may initiate review of a restrictions matter by submitting a reasoned statement
  • Preliminary review: The Independent Council examines the merits of the initiative within 14 days and publishes a recommendation
  • Right of defense: The Earthling concerned has the right to receive full information regarding the allegations, present their position, and enlist other Earthlings in their support
  • Deliberation: Public deliberation period of no less than 14 days (for levels 1-3) or 21 days (for levels 4-6)
  • Vote: Levels 1-3: decision adopted by 67% majority with 20% quorum. Levels 4-6: decision adopted by 75% majority with 25% quorum
  • Effect: Restrictions take effect 48 hours after the conclusion of the vote

Early removal of restrictions:

Restrictions may be removed before the expiry of their term: after the halfway point - by DAO decision with a 51% threshold; at any time - by DAO decision with a 67% threshold. Either the Earthling concerned or any other Earthling may initiate early removal.

Appeal:

An Earthling may appeal a restrictions decision within 30 days. The appeal is reviewed by the DAO Assembly. Overturning the decision requires 60% of votes with a 20% quorum.

SECTION 06

Cells - The Cooperation System

Article 23. The Nature of Cells
Cells are autonomous small teams of Earthlings who join together to carry out specific projects, research, or initiatives. Cells operate openly within the Digital Platform, and any Earthling may review their projects.

Operating principles of Cells:

  • Autonomy - Cells determine their own structure, working methods, and role distribution independently
  • Voluntariness - participation in and withdrawal from a Cell are entirely free
  • Transparency - Cell activities are open to all Earthlings
  • Contribution to the common good - 5% of Cell income is directed to the Earthlings Fund
  • Human scale - the optimal Cell size is 2-6 persons
Article 24. Formation and Dissolution of Cells

Any Earthling may initiate the formation of a Cell by joining with other Earthlings around a specific objective or project. Registration of a Cell takes place on the Digital Platform with the following stated:

  • Name and brief description of the Cell
  • Purpose and field of activity
  • Composition of participants
  • Planned projects
Article 25. Autonomy and Limitations
The DAO Assembly does NOT coordinate the day-to-day operations of Cells. Cells operate autonomously within the principles of the Earthlings Declaration on self-determination and this Charter.

The DAO intervenes only in exceptional cases:

  • Systematic breach of Earthlings ethical principles
  • Irresolvable conflicts within a Cell
  • Attempts to capture resources or monopolize domains
  • Actions causing reputational harm to the Earthlings people

Decisions on sanctions are adopted by qualified majority of the DAO Assembly following an independent investigation.

Article 26. Cell Economics

Cells may receive compensation for their work in either Earthlings Coin (EC) or fiat currency. Cell participants distribute income among themselves according to their own arrangements.

Mandatory contribution to the Fund:

  • 5% of all Cell income is transferred to the Earthlings Fund
  • The contribution may be made in EC or fiat
  • These funds support the common infrastructure and projects of the people
Article 27. Legal Status

Cell participants may, at their discretion, establish a legal entity (company, cooperative, partnership) for the purpose of working with clients who wish to pay for Cell services in fiat. Such entities are established by participants in their own name, not in the name of the Earthlings people.

Each Cell participant is individually responsible for compliance with the tax laws of their country of residence.

SECTION 07

Digital Platform and Security

Article 28. Platform Components

Article 29. Security
Platform security is of critical importance to safeguarding the autonomy and privacy of Earthlings. All components undergo regular audit; the source code is open.

  • Distributed data storage
  • Regular smart contract audits
  • Bug bounty program
  • Decentralized infrastructure
Article 30. Open Source

All platform source code is open to community review. Critical components undergo audit by independent experts.

SECTION 08

Participation of Legal Entities

Article 31. Principles of Interaction
Legal entities may interact with the Earthlings people but do NOT hold voting rights. Only natural persons - Earthlings - vote.

Forms of participation by legal entities:

  • Partnership in the execution of projects
  • Funding of projects and grants
  • Provision of expertise and resources
  • Technical support of initiatives

Limitations:

  • May NOT vote in the DAO Assembly
  • May NOT influence strategic decisions
  • May NOT be members of Core Nodes or Emergency Multisig
  • All interactions are transparent and approved by the DAO Assembly
SECTION 09

Crisis Governance

Article 32. Types of Crises
Technical Crises

Cyberattacks, smart contract vulnerabilities, infrastructure failures

Economic Crises

Sharp fluctuations in the value of EC, Fund liquidity problems

Legal Crises

Legal pressure, jurisdictional prohibitions, judicial demands with strict enforcement deadlines

Social Crises

Loss of trust, community fractures, conflicts

Article 33. Response Mechanisms

Level 1: Technical crisis

  • Emergency Multisig acts immediately
  • Suspension of vulnerable smart contracts
  • Community notification within 1 hour
  • Full report within 48 hours

Level 2: DAO decision required

  • Emergency vote (abbreviated period of 48-72 hours)
  • Core Nodes prepare solution options
  • Independent Council provides recommendations
  • DAO Assembly adopts the final decision

Level 2a: Legal crisis (special protocol)

Legal crises require a separate protocol, since the timelines imposed by legal proceedings frequently do not align with DAO voting procedures. The following order applies to legal crises:

  • Pre-appointed legal representative - the DAO Assembly, by qualified majority vote, appoints 1-2 Earthlings with legal expertise, empowered to act on behalf of the people within the legal sphere without awaiting a DAO vote
  • Limit of independent action: the legal representative may independently take only protective measures (responding to requests, recording the people's position, retaining legal counsel); decisions affecting assets exceeding 5,000 EC or altering the structure of the people require an emergency DAO vote (48 hours)
  • Mandatory reporting within 24 hours of any action; the DAO Assembly may revoke or modify the representative's actions by qualified majority
  • Representative authority remains in effect until the DAO Assembly has resolved the situation, but for no more than 30 days without reconfirmation

Level 3: Existential crisis

  • Convening of an extraordinary assembly
  • Possibility of temporary suspension of operations
  • In-depth analysis and structural reform
  • Qualified majority required for critical changes
SECTION 10

International Relations

Article 34. Principles
  • Respect for international law and state sovereignty
  • Peaceful cooperation and non-violent resolution of disputes
  • Priority of universal human interests
  • Transparency and openness
  • Partnership on equal terms
The Earthlings people does not intervene in the internal affairs of states and does not take part in political contests at the national level.
Article 35. Legal Personality
The Earthlings people seeks recognition as a subject of international law. Pending full recognition, it operates through legally registered entities in various jurisdictions. The legal strategy is set out in a separate document.
SECTION 11

Amendment of the Charter

Article 36. Amendment Procedure
67% of votes
Qualified majority with a quorum of no less than 25%

Stages of Charter amendment:

  • Proposal: Any Earthling may propose an amendment
  • Deliberation: Minimum of 21 days for discussion
  • Expert review: The Independent Council provides an advisory opinion
  • Vote: 14 days, qualified majority of 67%
  • Entry into force: 7 days after approval
Article 37. Unamendable Principles
The following principles CANNOT be amended even by qualified majority:
  • 1 person = 1 vote: The absolute equality of all Earthlings
  • Only individuals vote: Structures hold no collective vote
  • Openness and transparency of decisions and finances: All DAO decisions, votes, Fund financial transactions, and actions of executive structures are public and accessible on-chain. Personal data and biometric information of participants are not public - they are protected in accordance with Article 13 of this Charter. Transparency applies to institutional actions, not to personal data
  • Voluntariness: Participation and withdrawal are free
SECTION 12

Final Provisions

Article 38. Entry into Force
This Charter enters into force upon its publication on the Earthlings people's website at www.earth-lings.org
Article 39. Transitional Period

Upon adoption of this Charter, a transitional period of 90 days is established for the purpose of:

  • Deployment of technical infrastructure
  • Election of the first Core Nodes and Emergency Multisig
  • Migration of existing structures to the new model
  • Training of Earthlings in the new procedures

Emergency Multisig

Authority: Emergency suspension of smart contracts upon security threats, protective measures during cyberattacks

Limitations: Action only upon critical threats, mandatory reporting within 24 hours

Accountability: Retrospective ratification by DAO within 7 days, recall by DAO decision

Independent Council

Authority: Ethical audit, recommendations, public opinions

Limitations: Advisory character; holds no veto right
